These Terms of Use govern your access to and use of Insight Dialog, including our website, software platform, AI-enabled features, dashboards, integrations, agent workflows, APIs, documentation, and related services.

By accessing or using Insight Dialog, you agree to these Terms. If you are using Insight Dialog on behalf of an organization, you confirm that you have authority to bind that organization to these Terms.

1. About Insight Dialog

Insight Dialog is an AI SaaS platform designed to help organizations connect business data, generate insights, support decision-making, orchestrate governed AI actions, and manage human oversight of AI-assisted workflows.

The platform may include features such as data ingestion, source-backed analysis, recommendations, approvals, automated outputs, agent actions, workflow governance, reporting, and integrations with third-party business systems.

2. Accounts and Authorized Users

To use certain parts of the platform, you may need to create an account or be invited by an organization that subscribes to Insight Dialog.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate account information and to promptly notify us of any unauthorized access or suspected security incident.

3. Customer Data

“Customer Data” means data, content, files, records, prompts, instructions, configurations, business information, system outputs, and other materials submitted to or processed through Insight Dialog by or on behalf of a customer.

You retain ownership of your Customer Data. You grant us a limited right to process Customer Data only as necessary to provide, secure, maintain, support, improve, and operate Insight Dialog, and as otherwise permitted by your agreement with us.

You are responsible for ensuring that you have the necessary rights, permissions, and lawful basis to submit Customer Data to the platform.

4. AI Outputs and Human Oversight

Insight Dialog may generate AI-assisted insights, recommendations, summaries, forecasts, workflow suggestions, draft actions, or other outputs.

AI-generated outputs may be incomplete, inaccurate, or unsuitable for certain decisions without review. You are responsible for evaluating outputs before relying on them or using them in business, financial, legal, employment, customer-facing, operational, or other material decisions.

Where the platform includes approval workflows or governed agent actions, you remain responsible for configuring appropriate review, authorization, escalation, and monitoring processes.

Insight Dialog is not a substitute for professional judgment, legal advice, financial advice, compliance review, or operational governance.

5. Acceptable Use

You agree not to use Insight Dialog to:

  • Violate any law, regulation, contract, intellectual property right, privacy right, or third-party right.
  • Submit data that you do not have the right to process.
  • Attempt to reverse engineer, copy, resell, or misuse the platform.
  • Interfere with the security, availability, or integrity of the platform.
  • Upload malicious code, spyware, malware, or harmful content.
  • Use the platform to generate deceptive, unlawful, discriminatory, abusive, or harmful content.
  • Circumvent usage limits, access controls, monitoring systems, or security features.
  • Use the platform to make fully automated high-impact decisions without appropriate human review where such review is required by law, contract, or reasonable business practice.

We may suspend or restrict access if we reasonably believe the platform is being misused or if continued access may create legal, security, operational, or reputational risk.

6. Integrations and Third-Party Services

Insight Dialog may connect with third-party platforms, APIs, software, databases, ecommerce systems, CRM systems, analytics tools, payment providers, productivity tools, and other external services.

Your use of third-party services is governed by their own terms and privacy policies. We are not responsible for third-party platforms, their availability, their security practices, or the accuracy of data received from them.

You are responsible for configuring integrations properly and ensuring that any data shared through integrations is authorized and appropriate.

7. Fees, Subscriptions, and Payment

If you purchase a paid subscription, you agree to pay the applicable fees according to the order form, subscription agreement, invoice, or checkout terms provided to you.

Unless otherwise stated, fees are non-refundable except where required by law or expressly agreed in writing. We may suspend access for late payment after reasonable notice.

8. Intellectual Property

We and our licensors own all rights, title, and interest in Insight Dialog, including the software, platform design, models, workflows, documentation, trademarks, logos, methods, templates, and related intellectual property.

These Terms do not transfer ownership of Insight Dialog to you. You may use the platform only as permitted under these Terms or a separate written agreement.

You retain ownership of your Customer Data. Subject to confidentiality obligations, we may use aggregated or de-identified information to operate, analyze, secure, and improve the platform, provided such information does not identify you, your users, or your customers.

9. Confidentiality

Each party may receive non-public information from the other party. The receiving party agrees to protect confidential information using reasonable care and to use it only for purposes related to the platform or the business relationship.

Confidential information does not include information that is publicly available, independently developed, rightfully received from a third party, or disclosed with permission.

10. Security

We use reasonable administrative, technical, and organizational safeguards designed to protect the platform and Customer Data. However, no system is completely secure, and we cannot guarantee that unauthorized access, data loss, or security incidents will never occur.

You are responsible for using strong passwords, managing user access, configuring permissions appropriately, and maintaining the security of your own systems and integrations.

11. Service Availability and Changes

We aim to provide a reliable platform, but we do not guarantee uninterrupted or error-free service. We may modify, update, suspend, or discontinue features from time to time.

Where practical, we will provide reasonable notice of material changes that negatively affect core platform functionality.

12. Disclaimers

Insight Dialog is provided on an “as is” and “as available” basis, except as expressly stated in a separate written agreement.

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

We do not guarantee that AI outputs will be accurate, complete, current, compliant, or suitable for your intended use.

13. Limitation of Liability

To the maximum extent permitted by law, Insight Dialog and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill.

Our total liability for any claim relating to the platform will not exceed the amount paid by you to us for the platform in the twelve months before the event giving rise to the claim, unless a separate written agreement states otherwise.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

14. Termination

You may stop using Insight Dialog at any time. We may suspend or terminate access if you violate these Terms, fail to pay fees, create security or legal risk, or misuse the platform.

Upon termination, your right to use the platform will end. Certain provisions, including those relating to intellectual property, confidentiality, disclaimers, limitation of liability, and payment obligations, will survive termination.

15. Governing Law

These Terms are governed by the laws of Quebec, Canada, without regard to conflict of law rules. The courts located in Quebec, Canada will have exclusive jurisdiction over disputes, unless otherwise required by applicable law or agreed in writing.

16. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our website with a revised effective date. If changes are material, we may provide additional notice where appropriate.

Your continued use of Insight Dialog after the updated Terms become effective means you accept the updated Terms.
